DSMによるマーテック・バイオサイエンス社に対する公開買付けが成立

Royal DSM N.V. (NYSE Euronext: DSM KON)は本日、マーテック・バイオサイエンシズ社の発行済普通株式全てを1株当たり31.50ドルで買い取る現金公開買付けについて、その後の買付け期間を無事終了したと発表した。

公開買付けに係る預託機関は、当該時点において、公開買付け期間中に追加で約 262,000 株の有効な応募があり、当初の公開買付け期間中に応募され、撤回されなかった株式と合わせ、DSM はマーテック社の発行済株式の約 89.5%を保有することになったと報告しています。 DSM は、有効な応募があったすべての株式を受領しました。

DSM社は、合併契約に基づきDSM社に付与されたトップアップオプションを行使し、マーテック社から直接株式を追加購入し、本日中に合併契約に基づく略式合併を行う予定です。 略式合併では、グリーンバック社がマーテック社に吸収合併され、公開買付けに応募されなかったマーテック社の普通株式のうち、デラウェア州法に基づき保有者が鑑定権を行使している株式およびDSM社もしくはマーテック社またはそれぞれの子会社が保有している株式を除く1株あたり31.50米ドルの現金を受け取る権利に転換されます。 これは、公開買付けで支払われた1株あたりの価格と同じです。
